Stuttgart, Germany, November 2, 2022 - The auditing and consulting firm Ebner Stolz has advised Intersaction Fund II and its portfolio company BMAir Deutschland GmbH & Co. KG (BMAir) on the acquisition of Amberg Umwelt-Technik GmbH (Amberg Umwelt-Technik) with a Red Flag Financial and Tax Due Diligence
Intersaction, a private equity investor based in the Netherlands, focuses on investing in niche and B2B companies with significant growth potential and an EBITDA of EUR 2-10 million. The company acquired all shares in Amberg Umwelt-Technik through its portfolio company BMAir which is one of the leading manufacturers of protective ventilation systems in Europe. The group is pursuing an ambitious growth and internationalization strategy in which the German market plays a key role.
Amberg Umwelt-Technik, based in Nettetal in the Lower Rhine region, was founded in October 1997 by Hermann Amberg as a specialist company for the cleaning and air conditioning of exhaust gases from construction machines. Recently, Amberg Umwelt-Technik has established itself as one of the leading specialist companies in Germany for air supply technology (protective ventilation), air conditioning technology and diesel filter technology for construction machines. In addition to advice to construction machine manufacturers and dealers as well as the production of high-quality components, a specially trained customer service staff ensures timely and professional installation and maintenance of the machines on site.
The transaction will create a new European market leader in pressurised filter systems for mobile equipment. Following the acquisition by BMAir, Amberg Umwelt-Technik will continue its operational activities under its own brand.
Ebner Stolz provided comprehensive support to the buy side for the acquisition in the context of a Financial and Tax Due Diligence. Additionally, Ebner Stolz provided advice on the transaction structure and the SPA from a German tax perspective.
