- Ebner Stolz provided financial and tax due diligence support
- The acquisition allows Colfax Corporation to extend the production capacity and product range within ESAB, their welding business division
- The transaction required complex carve-out activities
- Global business with primary footprint in Sweden and US; limited presence in Germany
Colfax Corporation is a global manufacturing and engineering company based in the US that provides gas-handling solutions and fabrication technology to customers around the world. The company is listed on the New York Stock Exchange.
Sandvik’s welding business, part of Sandvik Materials Technology, is a leading global producer of premium stainless steel and nickel alloy consumable welding products with manufacturing locations in Sweden and the US.
The Sandvik welding business is highly integrated within the Sandvik group, requiring complex analysis both in the due diligence phase and for future integration planning. Due to the close collaboration between Ebner Stolz and Colfax, a large number of different aspects of the carve-out transaction were deeply analyzed and solutions were developed.
This is Colfax’s third acquisition with Ebner Stolz this year; Ebner Stolz previously supported Colfax in its successful purchase of Siemens Turbomachinery Equipment and TBi Industries.
