Ebner Stolz has supported investment firm RCP on the sale of PowerTech Converter (PTC), a leading supplier of auxiliary power converter solutions for light rail vehicles and metros. ABB announced it will acquire the PowerTech Converter (PTC) business as an important part of ABB Motion’s external growth strategy.
RCP is an independent and internationally operating investment firm based in Munich that invests in corporate carve-outs and spin-offs across all industry sectors. The firm supports its portfolio companies over the long term, providing operational resources in addition to capital.
Ebner Stolz acted as exclusive M&A advisor to RCP throughout the entire transaction process of selling the PTC business. FMDH served as legal advisor to RCP.
PTC is headquartered in Berlin, Germany and has other facilities in Holzkirchen, Germany and Mount Olive, USA. With around 280 employees, the business generated revenues of approximately €60 million in 2021. The company was acquired by RCP in 2019 from Knorr-Bremse. Since then, it has been successfully developed into a leading supplier of auxiliary converters which are essential in the supplement of power needed for vital systems that improve passenger comfort such as the HVAC system (heating, ventilation and air condition), lighting, safety equipment, doors, as well as charging of the vehicle's batteries.

Financial terms of the transaction were not disclosed, and the deal is expected to close in the fourth quarter of 2022, subject to clearance from relevant regulatory and anti-trust authorities.
