RSM Ebner Stolz advises on the sale of ALLGAIER Process Technology GmbH to Siebtechnik GmbH in the insolvency proceedings of the ALLGAIER Group

Stutt­gart, 21 De­cem­ber 2023 - RSM Eb­ner Stolz has ac­ted as ex­clu­sive M&A ad­vi­sor to the in­sol­vency ad­mi­nis­tra­tor in the sale pro­cess of ALL­GAIER Pro­cess Tech­no­logy GmbH and suc­cess­fully im­ple­men­ted the tran­sac­tion. The ALL­GAIER Group sub­si­di­ary spe­cia­li­sing in the dry­ing and scree­ning of bulk so­lids was sold to Sieb­tech­nik GmbH.

With over 50 years of ex­pe­ri­ence in pro­cess tech­no­logy and nu­me­rous test se­ries, ALL­GAIER Pro­cess Tech­no­logy GmbH is an es­ta­blis­hed part­ner to the bulk so­lids pro­ces­sing in­dus­try world­wide. In ad­di­tion to high-per­for­mance drum, flui­di­sed bed and disc dry­ers as well as com­bi­ned dry­ing and coo­ling units, the pro­duct port­fo­lio also in­clu­des tum­bling and vi­bra­ting scree­ning ma­chi­nes. The com­pany also of­fers com­plete sys­tem so­lu­ti­ons that are cu­st­omi­sed on the ba­sis of com­pre­hen­sive en­gi­nee­ring ex­per­tise. All 160 em­ployees will be ta­ken over.

The buyer is STAFAG In­ter­na­tio­nal GmbH from Mülheim an der Ruhr, the hol­ding com­pany of a me­dium-si­zed group of com­pa­nies that also in­clu­des SIEB­TECH­NIK GmbH. With more than 50 com­pa­nies and around 3,600 em­ployees, the group re­cently achie­ved a tur­no­ver of over half a bil­lion eu­ros. As a me­dium-si­zed ma­chine and plant ma­nu­fac­turer, the com­pany spe­cia­li­ses in the pro­duc­tion of high-qua­lity cen­tri­fu­ges as well as the pro­ces­sing of mi­ne­ral bulk ma­te­ri­als and so­lid-li­quid se­pa­ra­tion in va­rious in­dus­tries.

The sale took place as part of the ALL­GAIER Group's in­sol­vency pro­cee­dings, be­cause of which ALL­GAIER Pro­cess Tech­no­logy GmbH had also fi­led for in­sol­vency. Fol­lo­wing the re­cent sale of the Mo­gen­sen sub­si­dia­ries to the JOEST group, the cur­rent tran­sac­tion com­ple­tes the sale of the ent­ire Pro­cess Tech­no­logy di­vi­sion of the ALL­GAIER Group.

RSM Eb­ner Stolz was ex­clu­si­vely man­da­ted by the in­sol­vency ad­mi­nis­tra­tors of PLUTA Rechts­an­walts GmbH to con­duct the sa­les pro­cess for the ALL­GAIER Group and ALL­GAIER Pro­cess Tech­no­logy GmbH. A team led by Distres­sed M&A ex­perts Mi­chael Eu­ch­ner and André La­ner was re­spon­si­ble for the suc­cess­ful in­ves­tor se­arch and the ma­nage­ment of the pro­cess.

The par­ties have agreed not to dis­close the fi­nan­cial terms of the tran­sac­tion.
