Stuttgart, 20 August 2024, As the M&A advisor exclusively mandated by the insolvency administration, RSM Ebner Stolz successfully advised on the sale of Allgaier Sachsen GmbH, a subsidiary of ALLGAIER Werke GmbH, to the German Martin Group.
Allgaier Sachsen GmbH is a trusted supplier to German premium carmakers. The company has built up a sterling reputation for its production expertise across chassis components and outer skin elements. In its facilities in Oelsnitz (Saxony), approximately 100 people are employed, all to be taken over as part of the transaction.
The Martin Group is a global specialist in metal forming with 800 employees and sites in Germany and Lithuania. The group develops and produces components for e-mobility, welded and riveted assemblies, functional assemblies as well as stamped and formed parts. Its customers include well-known automotive brands and automotive players. With the acquisition, Martin Group successfully expands its core operations by a production facility in close proximity to its headquarters in Ebersdorf near Coburg.
The sale took place as part of the insolvency proceedings of the ALLGAIER Group, in which the ALLGAIER Process Technology division has already been successfully sold. With regards to the Automotive division, a purchase agreement for the sale of Allgaier de Puebla with its Mexican plants to Italian Proma Group had already been signed. With the sale of Allgaier Sachsen, the second transaction for the Automotive division can now be announced.
RSM Ebner Stolz was exclusively commissioned by the insolvency administrators of PLUTA Rechtsanwalts GmbH to conduct the sales process for the ALLGAIER Group. A team led by distressed M&A experts Michael Euchner and André Laner was responsible for the successful search for investors and the management of the process.
The parties have agreed not to disclose the financial terms of the transaction. The transaction is expected to be completed in the coming weeks and is still subject to the approval of the antitrust authorities.
