Stuttgart, December 04, 2023 - On behalf of the insolvency administration, RSM Ebner Stolz has supported the sales process of Mogensen GmbH & Co. KG as well as Fredrik Mogensen AB and Allgaier Mogensen S.L.U. (together Mogensen) as M&A advisor and successfully accompanied the process. The subsidiaries of the ALLGAIER Group in the field of screening and sorting of bulk solids were sold to JOEST group (JOEST).
Mogensen was founded in 1947 and employs over 140 people at locations in Germany, Sweden and Spain. Mogensen is considered a pioneer in screening technology, in particular due to the invention of the Sizer screening machine. The innovative MSort sorting system as well as Sand Washing Equipment, Distribution Feeders and Densimetric Tables complete the comprehensive product portfolio. With the planning and realization of customer-specific total solutions for complex tasks, Mogensen has established itself as a sought-after partner in the market.
The acquirer, the JOEST group, is an internationally active expert in the field of differentiated vibration technology for handling bulk and piece goods with its headquarters in Dülmen, North Rhine-Westphalia. JOEST offers a differentiated product portfolio for conveying, screening and dosing bulk materials as well as for their thermal treatment. The family-run group of companies was founded over 100 years ago and generated sales of around EUR 180 million in 2022 with over 1,000 employees.
The sale took place as part of the ALLGAIER Group's insolvency proceedings, as a result of which the German company Mogensen GmbH & Co. KG had also filed for insolvency. The business operations of all three companies continued uninterrupted throughout the proceedings. The foreign companies are still not affected by the insolvency.
RSM Ebner Stolz was exclusively mandated by the insolvency administrators of PLUTA Rechtsanwalts GmbH for the ALLGAIER Group and Mogensen GmbH & Co. KG with the implementation of the sales process. A team led by the distressed M&A experts Michael Euchner and André Laner was responsible for successfully finding investors and conducting the process.
The parties have agreed not to disclose the financial terms of the transaction.
