Hamburg, 28 January 2025 - RSM Ebner Stolz, in collaboration with RSM UK and UK law firm Stevens & Bolton LLP, has successfully advised Drewsen Spezialpapiere GmbH & Co. KG on the 100% acquisition of UK high-security papers manufacturer Portals Paper Ltd. RSM Ebner Stolz and its UK-based partners provided legal, financial, and tax due diligence as well as advice on the SPA and other transaction documents to the German paper manufacturer.

Drewsen Spezialpapiere GmbH & Co. KG, a Germany-based manufacturer of specialty and security papers used inter alia for passports, acquired Portals Paper Ltd., a renowned UK producer of high-security papers. The merger, strategic in nature, creates synergies to ensure business continuity and expand product offerings.

RSM Ebner Stolz, together with RSM UK and Stevens & Bolton, provided comprehensive legal, financial, and tax advice to Drewsen spanning from the deal structuring phase through to closing, including purchase of W&I insurance coverage. RSM Ebner Stolz managed the advisory workstreams, negotiated with the sell-side, and drafted the legal documentation while RSM UK conducted the financial and tax due diligence and provided input on financial as well as on tax aspects of the transaction documents. Stevens & Bolton carried out the legal due diligence and provided advice on the English law aspects of the transaction.
